Terms of Service

Please read these Terms carefully before using WebpinnPOS. By creating an account or using the platform, you confirm that you are at least 18 years old, have the authority to bind your business, and accept these Terms in full. If you do not agree, do not use the Service.

1Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant" or "User") and Webpinn ("WebpinnPOS", "we", "us", or "our"), a technology company operating under the laws of Kenya. By registering for, accessing, or using the WebpinnPOS platform (the "Service"), you accept these Terms in full.

2Description of Service

WebpinnPOS is a cloud-based software-as-a-service (SaaS) platform that provides point-of-sale, inventory management, appointment booking, staff scheduling, M-Pesa payment processing integration, and related business management tools. The Service is provided on a subscription basis. Features available to you depend on your selected subscription plan and activated add-ons.

3Account Registration & Security

• You must provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us immediately at info@webpinn.com if you suspect unauthorised access.
• You may not share account credentials across unrelated businesses or sublicense access to the platform.
• We reserve the right to suspend or terminate accounts used fraudulently or in violation of these Terms.

4Subscription Plans & Payment

WebpinnPOS offers a free trial period followed by paid subscription plans. Pricing is displayed within the platform and is subject to change with 30 days' notice.

• Trial: New accounts receive a free trial period as stated at registration. No payment required during the trial.
• Renewal: Subscriptions renew monthly. Payment must be made via M-Pesa STK push before the renewal date.
• Non-refundable: All payments are final and non-refundable except where required by Kenyan consumer protection law.
• Grace period: A grace period may be granted after expiry at our discretion.
• Add-ons: Optional modules (e.g., Bookings, Data Pro) are charged separately under these same terms.

5Acceptable Use

You agree NOT to use the Service to:

• Process sales for illegal goods or services.
• Circumvent, disable, or interfere with security features.
• Attempt to access other merchants' data or accounts.
• Upload malicious code or viruses.
• Misrepresent your identity or business.
• Generate fraudulent or self-referrals via the affiliate programme.
• Reverse-engineer, copy, or resell the Service.

6Data Ownership & Privacy

You retain ownership of all business data you input into the platform. By using the Service you grant us a limited licence to store and process this data solely to provide the Service.

We process personal data in accordance with the Kenya Data Protection Act 2019. See our Privacy Policy for full details.

7Intellectual Property

The WebpinnPOS platform, including all software, designs, trademarks, and documentation, is the exclusive intellectual property of Webpinn. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your own business operations. Nothing in these Terms transfers any intellectual property rights to you.

8Limitation of Liability & Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or free from data loss.

To the maximum extent permitted by Kenyan law, Webpinn's total liability for any claim shall not exceed the subscription fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

WebpinnPOS is not liable for failures or charges arising from M-Pesa or third-party payment systems.

9Termination

You may terminate your account at any time by contacting our support team. We may suspend or terminate your account immediately if you breach these Terms, fail to make payment, or if your use poses a legal or security risk. Upon termination, your right to access the Service ceases immediately. We will retain your data for 90 days before permanent deletion.

10Governing Law & Disputes

These Terms are governed by the laws of the Republic of Kenya. Disputes shall be resolved first through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.

11Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a platform notice at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
